1. MANDILINKS MARKETPLACE PLATFORM
MANDILINKS is an online marketplace. We provide a platform for the primary purpose of enabling buyers and Sellers to interact with each other. On MANDILINKS, the Sellers may advertise Agricultural products, Food products, and other products throughout PAKISTAN. The products include different crops such as; Rice, Corn, Wheat and wheat related products, Grains, Lentils, FMCG , Cooking oil, Spices, Nuts, Fruits, Dry fruits, Tin food, Packed food etc., all these kinds in Bulks.
MANDILINKS is not party to the transaction and shall not bear any express or implied liabilities related to the items sold online. We do not possess, check or act as caretakers of any items that are sold by Sellers at any time. Any information provided either through or at Website or MANDILINKS Application is only for information purpose and such information does not substitute any specific advice, whether investment or otherwise and MANDILINKS is not intended to provide you with any nature of certification, guarantee or warranty.
2. HOW DOES MANDILINKS WORK?
MANDILINKS Application and Marketplace Platform merely allow Users to connect to and interact with third parties. The Owner (MANDILINKS) therefore is not directly involved in any such interaction nor does it intermediate, participate in or benefit economically from any contract or transaction which occurs as a consequence of such interactions.
The Owner (MANDILINKS) does not control, monitor, moderate or inspect any Products offered by Sellers via this Application. This means that the Owner (MANDILINKS) does not bear any responsibility in connection with such Products, including but not limited to their quality, safety, accuracy, or the Sellers’ ability to provide them.
Likewise, the Owner (MANDILINKS) does not control, monitor, moderate or inspect Buyers using this Application. Therefore, the Owner does not bear any responsibility in connection with such Buyers’ activity on this Application.
By accepting the Terms, Users fully and unconditionally release and forever discharge the Owner (MANDILINKS), its officers, directors, employees and agents from any and all claims, demands and damages (actual or consequential, direct or indirect), whether now known or unknown, of every kind and nature relating to, arising out of or in any way connected with:
disputes between Users, or any other person or entity,
the Products’ use, including, without limitation, any and all claims that such use violates any of Seller’s intellectual property rights, copyrights, rights of publicity or privacy, “moral rights,” or rights of attribution and integrity, or
Users’ activity on this Application, including, but not limited to, Users’ legal capacity, ability to complete a transaction, or pay the associated costs. User acknowledges and agrees that the Owner has no control over, and shall have no liability for any damages resulting from, the use or misuse by any other person or entity of any Products.
If the Owner becomes aware of any Products that allegedly may not conform to the Terms, the Owner may investigate the allegation and determine in its sole discretion whether to take action in accordance with the Terms. The Owner has no liability or responsibility to Users for performance or nonperformance of such activities. The Owner has the absolute right to remove and/or delete without notice any Products within its control that it deems objectionable. Users consent to such removal and/or deletion and waive any claim against the Owner for such removal and/or deletion. The Owner is not responsible or liable for failure to store posted content or other materials Users may transmit through this Application. Users shall take measures to preserve copies of any data, material, content or information such User posts on this Application. Any identity verification methods the Owner employs is strictly on a best efforts basis and shall not be relied upon by Users.
The Service of this Application is provided at no monetary cost to Buyers. This Application merely serves as a technical infrastructure or platform to allow Users to interact with each other. The Owner therefore is not directly involved in any such interactions between Users.
These Terms apply to the described usage of this Application as a platform.
This platform does not imply the involvement of the Owner (MANDILINKS) in any transactions between the Buyer and the Seller.
3. MODIFICATION OF THE SERVICE
MANDILINKS reserves the right to modify or discontinue all or any portion of the Service at any time (including by limiting or discontinuing certain features of the Service), temporarily or permanently, without notice to you. MANDILINKS will have no liability for any change to the Service, including any paid functionalities of the Service, or any suspension or termination of your access to or use of the Services. You should retain copies of any User Content you Post to the Service so that you have permanent copies in the event the Service is modified in such a way that you lose access to User Content you posted to the Service.
4. DISCLAIMER OF WARRANTIES
THE CONTENT USED IN CONNECTION WITH THE SERVICES AND ALL TEXT, IMAGES, MERCHANDISE, AND OTHER INFORMATION ON, ACCESSIBLE FROM OR AVAILABLE THROUGH OR IN CONNECTION WITH THE SERVICES ARE PROVIDED ON AN "AS AVAILABLE" AND "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. USE OF THE SERVICES IS AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM MANDILINKS OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. SPECIFICALLY, BUT WITHOUT LIMITATION, MANDILINKS, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT: (i) THE INFORMATION AND CONTENT AVAILABLE ON THIS SERVICES IS ACCURATE, RELIABLE, CORRECT OR FREE OF ERRORS; (ii) THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE UNINTERRUPTED OR FREE OF ERRORS; (iii) THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION OR SECURE; (iv) THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED, OR (iv) THE SERVICES OR THE SERVER(S) THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE SERVICES.
MANDILINKS DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY HYPERLINKED WEBSITE OR SERVICE, AND MANDILINKS WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
5. ELIGIBILITY
You must be at least 18-years old to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18-years old; (b) you have not previously been suspended or removed from the applicable Service; and (c) your registration and your use of the Service is in compliance with any and all laws and regulations. If you are an entity, organization, or MANDILINKS, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.
6. RIGHTS AND LICENSE TO USE
1. Subject to acceptance by the User of these Terms and Conditions, MANDILINKS Marketplace offers the User a limited, non-exclusive, non-sub licensable, revocable and non-transferable license to access to the platform on his/her personal equipment, solely for the purpose of using the platform services; and access to and use any content, information and related materials that may be made available through the services of the MANDILINKS Marketplace platform. Any rights not expressly granted in these terms are reserved to MANDILINKS.
2. All rights on the MANDILINKS Marketplace platform are and remain the property of MANDILINKS or its licensors. Neither these Terms and Conditions, nor the use of the services of the MANDILINKS Marketplace platform, gives the User any rights: (a) on or related to the services, except for the limited license granted above; or (b) to use or, in any way, to refer to the MANDILINKS names of MANDILINK, its affiliates or, where applicable, its licensors, its logos, product and service names, trademarks or other distinctive elements of MANDILINKS ownership.
3. The User is not authorized: (a) to remove any indication of intellectual property, including, without limitation, any trademark or other notices related to the intellectual property of any space of the services of the MANDILINKS Marketplace platform; b) to reproduce, modify, perform derivative works, destroy, license, rent, sell, resell, transfer, display or publicly perform, transmit, reproduce, broadcast, or otherwise exploit the services of the MANDILINKS Marketplace platform, except to the extent expressly permitted by MANDILINKS MP; (c) to decompile, reverse engineer or disassemble the MANDILINKS Marketplace platform, except to the extent permitted by applicable law; (d) to create links or frame any part of the MANDILINKS Marketplace platform; (e) to create or launch any programs or scripts to capture, index, collect or otherwise extract data from any part of the MANDILINKS Marketplace platform, or unduly overloading and / or preventing the operation and /or functionality of the MANDILINKS Marketplace platform; or (f) to attempt to get unauthorized access to the MANDILINKS Marketplace platform or impair any aspect of the MANDILINKS Marketplace platform or its systems or networks.
7. CONDITIONS OF USE AND OPERATION OF THE MANDILINKS PLATFORM
To access the services of the MANDILINKS Marketplace platform, in addition to the acceptance of these Terms and Conditions, it is necessary to create an Account.
The User must be at least 18 years of age to obtain an Account.
The process of creating an Account requires the User to fill in certain personal information such as name, address, mobile phone number, email address etc.
The MANDILINKS Marketplace platform only allows one Account per User, unless expressly provided otherwise.
The User guarantees the accuracy, completeness and timeliness of the information that he/she submits. If the information submitted proves to be false, incomplete or outdated, MANDILINKS may disable the User's access to the MANDILINKS Marketplace platform.
The User is responsible for all activity in his/her Account and undertakes to always keep the security and confidentiality of his/her User name and password.
The User undertakes to immediately notify MANDILINKS Marketplace if he/she becomes aware of an unauthorized use or any other breach of security relating to his/her Account.
The User agrees that all activities that happen through his/her Account (including but not limited to posting any information about the Professional or the Product and / or the Service or clicking to accept any additional terms, subscribing to any service or etc. shall be considered as authorized by the User.
With the creation of the Account, the User is entitled to access the network provided by the MANDILINKS Marketplace platform, according to these Terms and Conditions.
8. CONDITIONS OF PUBLICATION OF INFORMATION ON THE PRODUCTS / SERVICES
The User agrees to comply with the rules of MANDILINKS on the publication of information and sales practices.
The User is responsible for the truthfulness, accuracy and content of the information of the product / Service provided.
The User undertakes to only sell and provide services that are lawful and in accordance with the law of Pakistan.
The User agrees not to submit any content that is defamatory, libelous, violent, obscene, illegal, or in any way offensive, whether or not this material is protected by PAKISTANI law.
MANDILINKS reserves the right (but shall have no obligation) to decide whether the contents meet the requirements of these Terms and Conditions and may at any time and without notice eradicate such content and / or terminate a User’s access to the Service for providing content that violates MANDILINKS these Terms and Conditions.
9. NO GUARANTEES BY MANDILINKS
The Buyer accepts that he/she is fully responsible for reading any information on the product / service before making the purchase or contacting the service and MANDILINKS makes no guarantees of the validity or genuineness of the products advertised by the Sellers.
The Seller and the Services Provider agree that they are responsible for reading any information on the product and / or service requested by the Buyer before accepting the sale or service provision.
The Buyer, the Seller and the Services Provider acknowledge that when placing an order for a product or requesting the provision of a service and accepting a product ordering or service requesting by the Buyer, they are entering into a legally binding contract with each other and not with MANDILINKS.
10. PAYMENT OF THE PRODUCTS / SERVICES
The MANDILINKS Marketplace is totally FREE for the Users and does not charge a special fee or commission from the Users.
The price due for the products / services purchased by the Buyer shall be the price defined by the Seller, considering the prices indicated by the Seller or Services Provider and buying such Products constitutes a separate Agreement or Contract between the Buyers and Sellers.
11. MANDILINKS MOBILE APPLICATION (APP STORE OR GOOGLE PLAY) TERMS
You as a User may access the MANDILINKS Mobile App which can be downloaded from an applications store or applications distribution platform, such as the Apple Mobile App Store or Google Play, (the “Mobile App Provider”). You acknowledge and agree that: (i) these Terms and Conditions are entered into between MANDILINKS, and not with the Mobile App Provider, and that MANDILINKS is solely responsible for the MANDILINKS Mobile App (not the Mobile App Provider); (ii) the Mobile App Provider has no obligation to furnish any maintenance and support services with respect to the Mobile App; (iii) the Mobile App Provider is not responsible for addressing any claims you have or any claims of any third party relating to the MANDILINKS Mobile App or your use and possession of the MANDILINKS Mobile App, including, but not limited to: (a) product liability claims; (b) any claim that the MANDILINKS Mobile App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation; (iv) in the event of any third party claim that the MANDILINKS Mobile App or your possession and use of that Mobile App infringes that third party’s intellectual property rights, MANDILINKS will be responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms and Conditions; (v) the Mobile App Provider and its subsidiaries are third party beneficiaries of these Terms and Conditions as it relates to your license of the MANDILINKS Mobile App, and that, upon your acceptance of these Terms and Conditions, the Mobile App Provider will have the right (and will be deemed to have accepted the right) to enforce these Terms and Conditions as related to your license of the MANDILINKS Mobile App against you as a third party beneficiary thereof; and (vi) you must also comply with all applicable third party terms of service when using the MANDILINKS Services.
12. USER CONTENT
12.1 Your Right to Post Content
Our Service allows You to post Content. You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.
By posting Content to the Service, You grant MANDILINKS the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of Your rights to any Content You submit, post or display on or through the Service and You are responsible for protecting those rights. You agree that this license includes the right for MANDILINKS to make Your Content available to other users of the Service, who may also use Your Content subject to these Terms.
You represent and warrant that: (i) the Content is Yours (You own it) or You have the right to use it and grant Us the rights and license as provided in these Terms, and (ii) the posting of Your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

MANDILINKS is not responsible for the content of the Service's users. You expressly understand and agree that You are solely responsible for the Content and for all activity that occurs under your account, whether done so by You or any third person using Your account.
You may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:
a. Unlawful or promoting unlawful activity.
b. Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
c. Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
d. e. Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
f. Impersonating any person or entity including the MANDILINKS and its employees or representatives.
g. Violating the privacy of any third person.
h. False information and features.
MANDILINKS reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and complies with this Terms, refuse or remove this Content. The MANDILINKS further reserves the right to make formatting and edits and change the manner any Content. MANDILINKS can also limit or revoke the use of the Service if You post such objectionable Content.
As MANDILINKS cannot control all content posted by users and/or third parties on the Service, you agree to use the Service at your own risk. 14. UNAVAILABILITY OF SERVICES; TERMINATION
MANDILINKS may alter, suspend, or discontinue these Services in whole or in part, at any time and for any reason, without notice or cost. In addition, the Services may be temporarily unavailable from time to time for maintenance or other reasons. MANDILINKS may, in our sole discretion, terminate or suspend your use or access to all or part of the Services or your account or membership, for any reason, including, without limitation, breach of these Terms. If at any time MANDILINKS notifies you that your access to and/or use of the Services or your account is terminated, you must cease and desist from all such access and/or use immediately.
In the event these Terms or your account are terminated, the restrictions regarding intellectual property matters, the representations and warranties, indemnities, and limitations of liabilities set forth herein (as well as any other of your obligations which by their nature should survive termination) will survive termination.
15. INDEMNIFICATION
By using the MANDILINKS Website, the Services and purchasing the Products, you agree to defend and indemnify MANDILINKS, its owner(s), shareholder(s) (if applicable), director(s) (if applicable), officers, employees, affiliates, agents, licensors and suppliers and hold them harmless from and against all or any consequences, actions, claims, losses, liabilities, demands and settlements including, without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, or arising out of, or alleged to arise out of:
(i) your breach or violation of any of the Terms.
(ii) your misuse of the Website, the Services, or the Products.
(iii) the actions of any person using the User ID and password assigned to you for your account.
(iv) any misrepresentations made by you while using the Website, the Services or purchasing the Products.
(v) any failure by you to meet your obligations and their deadlines while using the Website; and
(vi) any violation of any applicable laws, rules, regulations, or code of conduct whether knowingly or otherwise, while using the Website, the Services or the Products.
16. IMITATION OF LIABILITY
To the maximum extent permitted by applicable law, in no event shall the MANDILINKS or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the MANDILINKS or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
17. NOTICES
Any notice required to be served under the MANDILINKS Terms shall be deemed to have been served if either delivered through e-mail, registered post or courier service at the respective addresses of the Parties provided and in such a case it shall be deemed (whether it is actually or not) to have been received at the time when such e-mail, registered post or courier would, in the normal and ordinary course, be delivered to the Party to be served.
18. ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. These Terms of Use and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Use). Any ambiguities in the interpretation of these Terms of Use shall not be construed against the drafting party.
19. SEVERABILITY
In the event that any provision of these Terms of Use is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use, such determination shall not affect the validity and enforceability of any other remaining provisions.
20. GOVERNING LAW
These Terms of Use and the relationship between you and MANDILINKS will be governed by the laws of PAKISTAN, without giving effect to principles of conflict of laws of any jurisdiction.
21. ARBITRATION
21.1 Negotiation and Mediation: If any dispute arises between the Parties arising from or out of the Terms and/or your use of the Website and the receipt of the Services, the Parties shall endeavor to settle the dispute through negotiation. The period within which negotiations are to be allowed, held and concluded shall not be more than thirty (30) days. If negotiations fail, the Parties shall proceed to mediation which shall be allowed, held and concluded shall not be more than an additional thirty (30) days. The Parties may, by mutual agreement in writing, waive the timelines permitted under this Clause, or vary their lengths.
21.2 Resort to Arbitration: If the Parties are unable to settle the dispute or difference by negotiation or mediation and the timelines, then such dispute or difference shall be referred to arbitration within thirty (30) days from the receipt of a written notice by either Party demanding arbitration.
21.3 Appointment of Arbitrator: You and the MANDILINKS shall appoint one arbitrator each. In case the arbitrators are unable to reach agreement on the award, they shall refer the matter to an umpire to be mutually appointed by them, who shall rule on the award. The Parties shall share the costs of the arbitration equally, unless otherwise stated in the arbitration award.
21.4 Legal Seat: The arbitration hearings/proceedings shall be conducted under Pakistan’s Arbitration Act, 1940 (or any reenactment thereof) at Pakistan and shall be concluded within sixty (60) days from the date of appointment of the arbitrator. For the purposes of enforcement of the arbitral award or any dispute in relation to the arbitration, the Legal Seat shall be Pakistan.
21.5 Relief: The arbitrators (or the umpire) shall have authority to award any remedy or relief that a civil court in Pakistan could grant in conformity to applicable law, except that the arbitrator shall have no authority to award lawyers’ fees or punitive damages.
21.6 Confidentiality: All arbitration proceedings shall be confidential.
21.7 Judgment: Judgment upon the award rendered by the arbitrators (or umpire) may be entered in any court in Pakistan with jurisdiction.
21.8 Injunctive Relief: The arbitration mechanism provided in this Agreement shall not prevent any Party from obtaining any temporary injunctive or other equitable relief from a court of competent jurisdiction. For such purpose, both Parties hereby consent to the jurisdiction of a Court in Pakistan with jurisdiction.
22. MISCELLANEOUS
